Terms of Service

1. Acceptance of Terms

By commissioning software development, consulting, design services, or interacting with Occ Edusoft (“Agency”, “we”, “us”), you (“Client”) agree to be bound by these Terms of Service in conjunction with individual Statement of Work (SOW) documents.

2. 100% Intellectual Property & Code Ownership

We believe in total transparency and client ownership. Upon final milestone payment for a project:

Full Source Code Transfer: 100% of custom frontend, backend, and database code written for the project is transferred to the client.

Design Assets & Tokens: All Figma screens, component libraries, and custom graphics belong entirely to the client.

Zero Vendor Lock-in: Clean, standard TypeScript / Next.js / Node.js architecture that any competent engineering team can maintain.

3. Engagement Models & Milestones

Our projects operate under sprint-based milestones defined in each Statement of Work (SOW). Standard engagement tracks include:

Fixed-Price Milestone Delivery: Predictable budgets with defined scope, sprint demos, and sign-offs.
Dedicated Engineering Squad: Monthly retainer providing dedicated software engineers and UI/UX designers.
Maintenance & 24/7 SLA: Ongoing security patches, uptime monitoring, and priority bug resolution.

4. Payment Terms & Invoicing

Invoices are issued according to agreed milestone completion schedules. Payments are due within 14 business days of invoice receipt unless otherwise specified in the master agreement.

5. Quality Warranty & Bug-Fix Guarantee

Every bespoke application shipped by Occ Edusoft comes with a 30-day post-launch warranty period during which our team resolves any functional bugs or regressions resulting from our code at zero additional charge.
